Strategy discloses 32 BTC sale for $2.5M in June 1 Form 8-K

Strategy (MSTR), the largest publicly traded holder of bitcoin (BTC), sold 32 BTC between May 26 and May 31, 2026 for approximately $2.5 million at an average net price of $77,135 per coin. The company disclosed the transaction in a Form 8-K filed with the U.S. Securities and Exchange Commission on June 1, 2026. The sale was executed above Strategy's average cost basis of $75,699 per coin, realising a small per-coin gain.

The 32 bitcoin represent 0.004 percent of Strategy's 843,706 BTC treasury

Strategy held 843,706 BTC as of May 31, 2026, at an average purchase price of $75,699 per coin. The 32 BTC sold represents approximately 0.004 percent of that total. The filing confirmed the remaining position alongside the per-coin cost basis, leaving Strategy's total holdings unchanged from its prior weekly disclosures except for the 32 disposed coins.

December 2022 sale was a tax-loss harvest; net holdings grew afterward

The May 2026 transaction is the first disclosed net bitcoin reduction in Strategy's history. In December 2022, the company sold 704 BTC and repurchased 810 BTC two days later, producing a net increase in holdings. That 2022 transaction was structured as a tax-loss harvest to offset capital gains. The May 2026 sale reduces the total count without a corresponding repurchase disclosed in the filing, making it the first standalone net disposal on record.

Proceeds fund STRC preferred stock distributions, filing footnote states

Strategy earmarked the sale proceeds for distributions on its STRC perpetual preferred stock, known as Stretch. The 8-K filing stated:

"proceeds from the bitcoin sales are expected to be used to fund distributions on preferred stock.", 01 June 2026. — Strategy Inc., Form 8-K (SEC filing)

According to the filing, Strategy's U.S. dollar reserve balance stood at approximately $900 million as of May 31, a management-designated pool covering preferred stock distributions and debt interest payments.
