BlackRock, the world's largest asset manager, filed Form 8-A12B with the Securities and Exchange Commission (SEC) on 11 June 2026. The filing registered the iShares Bitcoin Premium Income ETF for listing on the Nasdaq Stock Market under the ticker symbol BITA. A Form 8-A12B registers a security for an exchange listing and is one of the last procedural steps before an ETF goes live. BlackRock filed an initial S-1 registration for BITA in January 2026 and submitted four amendments before the 8-A12B. A 424B3 supplemental prospectus followed on 12 June 2026.

BITA earns income by selling covered call options on IBIT monthly
BITA is an actively managed exchange-traded fund (ETF). The fund holds shares of BlackRock's iShares Bitcoin Trust (IBIT) to gain bitcoin price exposure. Each month, BITA writes covered call options on 25% to 35% of its IBIT holdings. The fund collects option premiums from selling those contracts and distributes the income to shareholders. A covered call option gives the buyer the right to purchase the underlying asset at a set price. Selling that right limits how much BITA gains when bitcoin prices rise above the option strike price. Because BITA writes options on only 25% to 35% of its holdings at a time, the remaining portion retains full upside exposure.
BlackRock Financial Management, the seed capital investor, purchased 198,000 BITA shares at $50 each. The purchase provided the trust with $9.9 million at inception. The trust net asset value stood at $9.99 million, equal to $49.97 per share. On 9 June 2026, the trust acquired 109.96 bitcoin and 90,901 IBIT shares and wrote 856 options contracts to begin the income strategy.
BITA's 0.65% fee undercuts the two largest rival bitcoin income ETFs
BlackRock set BITA's sponsor fee at 0.65% annually. The two largest existing covered-call bitcoin ETFs charge 0.95% and 0.99% respectively. BITA's fee falls below both. The sponsor fee is expected to be paid using proceeds from the sale of IBIT shares held by the trust. IBIT held $48.7 billion as BITA's primary underlying asset
The iShares Bitcoin Trust (IBIT), which BITA uses as its primary underlying holding, held approximately $48.7 billion in net assets as of 12 June 2026. IBIT recorded $57.69 million in daily net inflows on 12 June 2026. It led all spot bitcoin exchange-traded funds in daily inflow that day. IBIT's trading volume and liquidity form the base on which BITA's monthly options writing strategy operates. BITA writes call options on IBIT shares, making IBIT the direct underlying asset for the fund's income strategy.
Reports say Goldman Sachs plans a competing bitcoin fund by July 1
According to Bloomberg Intelligence analyst Eric Balchunas, Goldman Sachs is preparing a competing bitcoin premium income ETF. Multiple reports indicate that Goldman Sachs Asset Management plans to bring the fund to market around 1 July 2026, according to the same analyst. BlackRock formed the Delaware trust behind BITA in September 2025 and filed its initial S-1 in January 2026. The 8-A12B filing puts BITA on track to list before Goldman Sachs enters the market, according to multiple reports.
Bitcoin traded at $64,024 when BITA filed for Nasdaq listing
Bitcoin (BTC) traded at $64,024.47 with a market capitalization of approximately $1.28 trillion at the time of publication (CoinPaprika, 13 June 2026). BTC had risen 0.27% in the previous 24 hours and 5.47% over the previous seven days.
